1. Introduction
Welcome to BizNiz.app.
These Terms of Service (“Terms”) govern your access to and use of the BizNiz.app platform, including our websites, applications, mobile applications, APIs, and related services (collectively, the “Service”), operated by BizNiz.app (“BizNiz,” “we,” “our,” or “us”).
BizNiz.app is a business operating system designed for professional users, offering planning, execution, AI-powered assistance, and billing modules, including BizNiz Planner, AI Jane™ / AI Task Force™, and FinWiz Billing™.
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, you must not use the Service.
2. B2B Use Only
The Service is provided exclusively for business and professional use (B2B).
By accepting these Terms, you confirm that:
- you are acting on behalf of a business, organization, or professional activity; and
- you are not acting as a consumer under consumer protection laws.
3. Eligibility & Authority
You must be at least 18 years old to use the Service.
If you use the Service on behalf of a company or organization (“Organization”), you represent that you have the authority to bind that Organization to these Terms.
4. Account Registration & Security
To use the Service, you must create an account.
You agree to:
- provide accurate and complete information;
- keep your account information up to date; and
- protect your login credentials.
You are fully responsible for all activity occurring under your account, including actions performed by authorized team members.
5. Service Overview
BizNiz.app includes, without limitation:
- BizNiz Planner™ – task planning, execution tracking, productivity insights
- AI Jane™ / AI Task Force™ – AI-powered task execution, content creation, analysis, and assistance
- FinWiz Billing™ – invoicing, quotes, orders, credit notes, payment tracking, and compliance safeguards
- Action Cards™ – pre-built business actions and workflows
- Credits system – AI Credits and Invoice Credits
Feature availability depends on your subscription plan and configuration.
6. AI Features (AI Jane™ & AI Task Force™)
6.1 Nature of AI Output
AI-generated outputs (“Outputs”) are produced using machine-learning systems and may rely on third-party AI models.
Outputs:
- may be inaccurate, incomplete, or outdated;
- are not legal, accounting, or tax advice; and
- must be reviewed before use.
6.2 Responsibility
You remain fully responsible for:
- decisions made based on Outputs;
- compliance with laws and regulations; and
- verification of financial, legal, or tax content.
- BizNiz.app does not guarantee correctness of AI Outputs.
##7. FinWiz Billing™ – Accounting Integrity & Compliance Controls
FinWiz Billing™ is designed to enforce accounting rigor by design.
By using FinWiz Billing™, you acknowledge and accept the following system rules:
7.1 Document Immutability
Once an invoice or financial document is marked as issued/sent, it may become immutable and cannot be edited or deleted.
7.2 Credit Note Safeguards
Credit notes must comply with enforced accounting rules, including:
- valid source invoice reference;
- amount and currency consistency;
- VAT consistency;
- chronological validity.
7.3 Accounting Period Controls
BizNiz may allow:
- open periods,
- closed periods (restricted edits),
- locked periods (no edits).
These controls exist to preserve auditability and financial integrity.
7.4 No Accounting Liability
While FinWiz Billing™ applies safeguards, you remain responsible for:
- statutory filings,
- tax declarations,
- accounting accuracy.
8. Subscriptions, Pricing & Credits
8.1 Subscriptions
Some features require a paid subscription. Subscriptions renew automatically unless canceled before renewal.
8.2 Credits
Certain actions consume credits:
- AI Credits (AI execution, generation)
- Invoice Credits (billing-related actions)
Credits are generally non-refundable, unless required by mandatory law.
8.3 Payment Authorization
You authorize BizNiz and its payment processors to charge applicable fees and taxes to your selected payment method.
9. Teams, Roles & Workspaces
You may invite team members and assign roles.
You are responsible for:
- access permissions;
- actions taken by authorized users;
- financial actions performed by users with billing permissions.
- Actions taken by authorized users are deemed actions taken by you.
10. User Content
You retain ownership of content you submit (“User Content”).
You grant BizNiz a worldwide, non-exclusive, royalty-free license to use User Content solely to operate, improve, and provide the Service.
You warrant that:
- you have rights to submit the content; and
- the content does not violate laws or third-party rights.
11. Intellectual Property & Trademarks
11.1 BizNiz Intellectual Property
All rights in the Service, including software, design, branding, and documentation, are owned by BizNiz or its licensors.
11.2 Protected Trademarks
The following names and marks are proprietary trademarks or trademarked brands of BizNiz, whether registered or unregistered:
- BizNiz.app™
- BizNiz Planner™
- FinWiz Billing™
- AI Jane™
- AI Task Force™
- Action Cards™
You may not use these marks without prior written permission.
12. Prohibited Use
You agree not to:
- misuse the Service for unlawful purposes;
- interfere with security or compliance mechanisms;
- reverse engineer or bypass safeguards;
- submit fraudulent or misleading financial data.
13. Beta Features
Beta or experimental features are provided “as is”, without warranties, and may be modified or discontinued at any time.
14. Termination
You may terminate your account at any time.
BizNiz may suspend or terminate access if you:
- breach these Terms;
- misuse the Service; or
- pose legal, security, or financial risk.
Upon termination, access to data may be limited or removed, subject to legal obligations.
15. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BIZNIZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED;
- BIZNIZ DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE;
- AI OUTPUTS ARE NOT GUARANTEED TO BE ACCURATE.
16. Limitation of Liability
To the maximum extent permitted by law:
- BizNiz shall not be liable for indirect, incidental, or consequential damages.
- BizNiz’s total liability is limited to the fees paid by you in the 12 months preceding the claim.
This allocation of risk is an essential part of the Agreement.
17. Indemnification
You agree to indemnify and hold harmless BizNiz from claims arising from:
- your misuse of the Service;
- your User Content;
- your violation of laws or third-party rights.
18. Governing Law & Jurisdiction
18.1 Governing Law
These Terms are governed by the laws of Belgium, without regard to conflict-of-law principles.
18.2 Jurisdiction
All disputes shall fall under the exclusive jurisdiction of the competent courts of Ghent, Belgium, unless mandatory law provides otherwise.
18.3 International Use
The Service is offered internationally (including the USA and Europe). You are responsible for compliance with local laws applicable to your business.
19. Changes to These Terms
BizNiz may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance.
